PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING OUR SERVICES.

GOCHARIOTS/TAXI FIESTA TERMS OF SERVICE:

These Terms and Conditions of Service constitute a legal agreement (the "Agreement" and/or "Term of Service") between you ("User") or ("Independent Driver") and Merkaba-Taxi Fiesta LLC, together with GoChariots LLC, both companies with their respective representatives, affiliates, agents, officers, directors, employees, owners, and co-owners. (All of us collectively referred to as: "Merkaba-Taxi Fiesta," "Taxi Fiesta," "GoChariots," "Chariots," "we," "our") that govern your use of the GoChariots Digital Application (App), our websites, services, technology, vehicles, and locations (collectively, the "GoChariots" platform).

PLEASE NOTE:
You agree that we collectively are free from any liability for any matter while using our services through our application (website, vehicles, or any other service related to the GoChariots platform).

Neither Taxi Fiesta nor GoChariots guarantees the quality, safety, or performance of Independent Service Providers through the platform and/or our direct service.

You Agree To:
(1) Waive your right to a jury trial, and (2) Waive the right to bring any and all claims, legal disputes, and controversies against us, whether individually, multiple, massively, collectively, or consolidated on behalf of any group of any kind. (3) Waive the right to a jury trial against us in the event of any type of accident or incident caused by an external event (referred to as a "third-party event"), even if it occurs while using our direct service or through the GoChariots digital platform. (4) You accept all risks that may arise when using our services requested by you. (5) Your continued access and/or use of this platform after such posting constitutes your consent or agreement to be bound by the terms and conditions or terms of service, as amended. (6) All disputes and claims between us (each a "Claim" or "Class Claim") will be resolved exclusively by binding arbitration between you ("User" or "Driver") and, in some cases, us (only refunds or claims apply). (7) You waive your right to a jury trial; you may not bring any claim, legal dispute, or controversy against us in the event of misconduct by any Independent Driver. We select and approve Independent Drivers with clean criminal records, but we do not guarantee the personal conduct of each Independent Driver. Any legal dispute, claim, or controversy you may have must be resolved solely between you, the Independent Driver, and the nearest appropriate legal authority.

FIESTA TAXI SERVICES AND GOCHARIOTS:
Our services are a digital services platform through the GoChariots App, to provide solutions to those who request them ("users").

This platform offers you the option to request or receive a convenient on-demand transportation service; to pair your device with any independent driver ("driver") near the location you provided on our platform; in the automated settings of your user account.

Once you request our services, we notify the independent provider of your request; please note that it is at the sole discretion of the independent provider ("driver") to accept or decline service upon your request. It is also your discretion as a user to decide whether or not to accept such services from any of the independent providers.

Once a trip has begun, you may not be allowed to cancel or reschedule your requested service. In the event that GoChariots is able to cancel or reschedule your request, you may be charged the full fee for the previously requested service and/or only an additional fee.

Independent Driver Services:
Independent Drivers offer private transportation services using their personal vehicles through the GoChariots app. Their vehicles meet and exceed the requirements required by law and are capable of providing this type of service. You should be aware that you use the services at your own risk. Neither Taxi Fiesta nor GoChariots will be held responsible in any way for any improperly provided service by any independent driver. In the event of a conflict between the terms of any of an independent driver's services and these Terms, these Terms will prevail in favor of Taxi Fiesta and GoChariots, along with their agreements herein and the limitations of liability.

GOCHARIOTS DOES NOT OFFER TRANSPORTATION OF ANY KIND, WHETHER PERSONAL OR COMMERCIAL, LOGISTICS SERVICES, CARRIER SERVICES, OR SIMILAR. ALL OF THE FOREGOING SERVICES ARE PROVIDED BY INDEPENDENT DRIVERS WHO ARE NOT EMPLOYED BY GOCHARIOTS LLC OR TAXI FIESTA. THE RELATIONSHIP BETWEEN INDEPENDENT DRIVERS AND US DOES NOT ALLOW THEM TO REPRESENT THEMSELVES AS AUTHORIZED REPRESENTATIVES, ASSOCIATES, EMPLOYEES, OR AGENTS OF ANY KIND ON BEHALF OF TAXI FIESTA OR GOCHARIOTS.

When you, as a "user," authorize the GoChariots platform to match you with independent drivers based on your pickup location, destination information, user statistics, user preferences, payment methods, and cancellation of any other services, it is the sole decision of that user. GoChariots has no responsibility for the user's priorities or requests while using our platform and web application services.

By entering into and reading this agreement, accessing and making moderate or constant use of the GoChariots LLC platform, or Taxi Fiesta services, you automatically acknowledge that you understand this agreement and agree to all terms and conditions presented by us without hesitation.

If you do not agree to the terms and conditions of this platform, software, or service provider, you may not be able to access or use any of our current or future services related to the GoChariots platform.

OUR LICENSE.
Subject to your compliance with these terms and conditions, GoChariots grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use our platform solely on your personal device. Use of this digital service for commercial purposes is prohibited. GoChariots reserves all rights not expressly granted herein.

All intellectual property rights, services, trademarks, and all related interests in and to the GoChariots platform are and shall remain the sole and absolute property of GOCHARIOTS LLC., TAXI FIESTA also owns and shall retain its sole and absolute rights to the intellectual property rights, services, trademarks, and interests. These Terms of Service do not grant you ownership rights to the GoChariots or Taxi Fiesta services or our intellectual property. Do not consider these terms and conditions to be an intentional sale, exchange, or lease, except for the limited license granted to you herein.

Modification and Termination of the Agreement.
Taxi Fiesta and GoChariots may immediately terminate or modify these terms and conditions or any service we provide to you, or generally cease to offer or deny access to the services to anyone, in any part, at any time, and for any reason, whether in whole or in part, without prior notice.

We may modify the terms and conditions related to the services we provide whenever we deem it necessary. All amendments will become effective when we update the terms and conditions in this document or in the modified policies and supplemental terms.

Eligibility to Use Our Services.
Our services may be used by those who have the authority to comply with this agreement and its terms, conditions, and obligations.

The GoChariots platform may not be available to users who have not logged in consistently, or whose accounts have been inactive for an extended period, or to users whose user account has been temporarily or permanently deactivated.

You are prohibited from allowing others or third parties to use your personal accounts, whether "user" or "driver." You agree that you are the only authorized user of your own account and do not allow third parties to use our services through the GoChariots platform.

GoChariots has the right to cancel or deactivate any additional or duplicate accounts and terminate your access to our services.

If you wish to become a GoChariots user, you must be at least 18 years of age.

We reserve the right to refuse service to minors who are not authorized and/or accompanied by an adult.

As a user, you ensure that no minor requests or accepts any of our services unless accompanied by you or an authorized guardian.

RESTRICTIONS

You must NOT:
1- Use, copy, or remove GoChariots' copyright, trade dress, logos, service marks, or any other notices belonging to Taxi Fiesta and GoChariots without our express written permission.
2- Reproduce, modify, or prepare any derivative works of Taxi Fiesta and GoChariots of any kind. You may not lease, reproduce, loan, redistribute, transmit, broadcast, or publicly perform the GoChariots platform and services, or any portion thereof, without GoChariots' permission.
3- Decompile, interfere with, modify, reverse engineer, or disassemble the Services, the Platform, and/or the Web Application, except as required by law.
4- Stalk, threaten, or otherwise harass any person inside vehicles, or carry weapons.
5- Use or publish information from any of the GoChariots platform services or Taxi Fiesta services, or use or publish information from independent providers in a fraudulent, obscene, sexually oriented, profane, harassing, or unlawful manner.
6- Deliberately use any software, spiders, web crawlers, scripts, or robots to generate impressions or clicks, scrape, hack, decipher, decompile, burn, modify, scrape, survey, translate, index, or otherwise alter the functionality of any aspect of our services, data, networks, platform, and any property belonging to Taxi Fiesta and GoChariots. Use false email addresses or other identifying information such as websites, promotions, demos, promotional codes, gift cards, trade, or sale of merchandise featuring our intellectual property logos, impersonate, or misrepresent any entity accessing the platform and our services without formal written authorization. Permission granted by us.
7- Discriminate against users and drivers on the basis of race, religion, nationality, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic protected by applicable law. Such discrimination includes, but is not limited to, any user who refuses to provide or accept services based on any of these characteristics. Any user found to have violated this prohibition will lose access to our services. Applicable laws in certain jurisdictions may require and/or permit the provision of services by and for the benefit of a specific category of individuals. In such jurisdictions, services provided in accordance with these laws and the relevant applicable terms are permitted under this policy.
8- Authorize third parties to use your user or driver account.
9- Authorize individuals under the age of 18 to use the GoChariots Platform at any time.
10- Lease, sublease, or attempt to establish a side business or joint venture with the GoChariots Platform for the benefit of third parties who are not bound by these terms and conditions, have not been subject to a criminal background check by us, and have not been approved.
11- Use the GoChariots digital platform for commercial purposes.

DISCLAIMERS, LIMITATION OF LIABILITY, AND INDEMNIFICATION.

Disclaimers:
The following disclaimers are made on behalf of Taxi Fiesta and GoChariots, affiliates, subsidiaries, parents, successors, agents, and assigns, and each of our respective officers, directors, employees, owners, and co-owners.
The GoChariots Platform is provided "as is" and without any warranties or conditions, express, implied, or statutory.
Taxi Fiesta and GoChariots make no representations or warranties regarding the reliability, timeliness, completeness, reliability, up-to-dateness, deletion, storage failure, security, uninterruptedness, error-free operation, availability, quality, suitability, or complete availability of the services, or that they will meet your requirements, that any defects in the digital platform will be corrected, or that the GoChariots platform is free of viruses or other harmful components, or any service or good requested through the use of our platform.
We are not responsible for the connectivity, availability, accuracy, integrity, or reliability of the GoChariots platform or services. We are not responsible for, and do not make any warranties regarding, the services provided by independent providers or ride-hailing services, including maps, navigation, estimated fares, arrival times, and routing services. You are responsible at all times for your conduct and the consequences of your conduct while using our services.
GoChariots recommends that you use our digital platform with an unlimited or very high data plan. GoChariots will not be responsible for any fees, costs, or additional charges associated with any data plan you use when accessing the GoChariots platform from your mobile provider.

Limitation of Liability:
GoChariots shall not be liable for any indirect, incidental, punitive, or consequential damages, lost profits, lost data, property damage or injury, incidents, or accidents related to this platform or while "users" and "drivers" are using it. GoChariots shall not be liable for any damages, liabilities, or losses related to: (1) The sharing of information, data, relationships, or transactions between you and the driver; (2) Your ability to access and use this service provided by this platform; (3) You acknowledge that independent providers provide transportation services to you and may not be professional or licensed. GoChariots shall not be liable for any reason for accidents, incidents, misconduct on the part of independent providers, and/or emotional or physical damages or losses of any kind while you (user or driver) are using our platform.

Indemnification:
You agree to indemnify GoChariots' affiliates, subsidiaries, parents, successors, assigns, agents, and each of our respective officers, directors, employees, owners, and co-owners.
You agree to be responsible for paying arbitration and administrative costs (attorney's fees) if you file a claim in court.
You agree to hold GoChariots' affiliates, subsidiaries, parents, successors, assigns, agents, and each of our respective officers, directors, employees, owners, and co-owners harmless from any and all claims, demands, losses, liabilities, and expenses (including attorney's fees) if you:
1- Breach any of these terms and conditions.
2- You violate the rights of any of the independent providers (drivers).

BY AGREEING TO ARBITRATION, YOU UNDERSTAND THAT YOU ARE WAIVING THE RIGHT TO SUE TAXI FIESTA AND GOCHARIOTS IN COURT OR HAVE A JURY TRIAL FOR ALL CLAIMS, EXCEPT AS EXPRESSLY PROVIDED OTHERWISE IN THIS ARBITRATION AGREEMENT.

DRIVING WITH US
As an Independent Driver on the GoChariots platform, you acknowledge and agree that you and GoChariots have a business relationship only, and the relationship between the parties under this Agreement is solely that of an Independent Provider.

YOU AGREE THAT:
(1) THIS IS NOT an employment contract in any legal form or form.
(2) You have a valid driver's license and are authorized to operate a motor vehicle where the law applies.
(3) You must be at least 21 years of age.
(4) You will not drive or operate public or common carrier transportation or a vehicle with taxi logos, taxi signs, or taxi insignia while providing the GoChariots ridesharing service.
(5) You will not be under the influence of alcohol or any other drugs while providing services through the GoChariots Platform.
(6) You must keep your vehicle in optimal condition and properly maintained to provide services through the GoChariots Platform.
(7) You will not attempt to defraud GoChariots by using alternative payment methods such as Square Readers, CashApp, Zelle, Stripe, or any other payment method outside of the GoChariots platform. If we discover that you are acting fraudulently, your account will be suspended.
(8) You have no authority to bind GoChariots as your employer, and you agree not to hold yourself out as an employee, agent, associate, or authorized representative of GoChariots.
(9) This agreement does not permit you to create or represent any joint venture, sub-company, franchise, or agency relationship related to the GoChariots platform or to use its name for your own profit.
(10) Sharing the right to use the GoChariots services and platform with persons unrelated to or associated with this agreement is prohibited and punishable. Leasing or renting our platform to others will result in the deactivation of your account and may subject you to a lawsuit and a jury trial. **
(11) You agree that you are an independent provider and that you will be responsible for paying all applicable federal, state, and local taxes based on your provision of transportation services and any other payments you receive through our platform.
(12) GoChariots does not control your overall performance while using this platform. GoChariots does not control your work schedule. You retain the right to determine where, when, and for how long you use the GoChariots platform.
(13) Each independent provider has the right to accept, reject, or cancel rides requested by users on our platform. (Subject to GoChariots' cancellation policies and fees.)
(14) You will only provide GoChariots services using the vehicle(s) reported in your account settings and approved by GoChariots to provide the service to users.
(15) You must provide your personal automobile insurance policy (Full Coverage) at all times.
(16) GoChariots will not have the right to:
(a) Require independent providers to display GoChariots names, insignia, logos, or decals on their vehicles unless you so desire.
(b) Require independent providers to wear uniforms with GoChariots logos unless you so desire.
(17) You acknowledge and agree that you have sole discretion to provide transportation services or engage in any other commercial or employment activity, including, but not limited to, providing similar services to other businesses, and that GoChariots will not limit or restrict you from engaging in such activity.
(18) You must deny service to minors unaccompanied by an adult. Do not allow persons under the age of 18 to use the GoChariots services and platform unless accompanied by an adult.
(19) You agree that GoChariots will obtain information about you, such as criminal background checks and driving records, to provide a safe and reliable ride to users.

**You agree that you are bound by this clause and that if GoChariot finds that you are committing fraud or allowing people outside this agreement to use our platform, you may pay up to $100,000 for misuse of the platform.

Vehicle Requirements:
4-door vehicle no older than 15 years (depending on the assigned category).
5-8 seats (including the driver)
Vehicle in good condition, clean, and free of cosmetic damage.
No rebuilt, salvage, flooded, non-repairable, or similar title.
No trademarks.

Driving Requirements:
You must be at least 21 years of age.
Have a valid driver's license and are authorized to operate a motor vehicle where the law applies.
Pass a criminal background check and driver's pass check.
Required Documents:
You must provide your personal automobile insurance policy (Full Coverage).
Your vehicle's registration sticker in the State of Texas.
A clear photo in your driver profile (no hats, no glasses, and a white or black background)
Time Limit Behind the Wheel:

Well, we know that driving for an extended period can be dangerous for you, road users, and pedestrians alike. That's why the State of Texas requires a 6-hour break between every 12 hours of driving.

Once you've been in DRIVING MODE ON for 12 hours, our platform will automatically log you out to prevent you from logging in again.

PRIVACY AND INFORMATION COLLECTED BY GOCHARIOTS.

Our commitment to you is:
GoChariots will retain your information and personal data only for as long as necessary for the purposes set forth in this Terms and Conditions Policy. When you accept and access the GoChariots platform, you provide us with your private information through your device; this information is not shared with or transferred from GoChariots to third parties, such as private or public entities, state or federal law enforcement, unless it is in response to a legal obligation, such as an investigation or due process, civil or criminal inquiry, dispute resolution, and enforcement of this legal agreement related to GoChariots' Terms and Conditions.

Usage Data is generally retained for a short period of time, except when this Usage Data is necessary to strengthen the security and improve the functionality of the GoChariots Services.
Remember that your data can be deleted upon request to info@gochariots.com, and we will respond within 60 days of your request.

Account Registration:

Share information such as your name, email address, date of birth, profile picture, phone number, and payment information with us. You'll also have the option to share your preferred or saved addresses when personalizing your profile; GoChariots will ask you to upload an ID, or perhaps a selfie.

Driver Information:
If you submit your application to drive for GoChariots, we will collect the information you upload in your application, such as: name, physical address, date of birth, driver's license photo, selfies whenever GoChariots deems necessary, Social Security number, vehicle model, and personal information about your auto insurance policy and bank account, in order to provide you with payment.

Communication:
When you communicate with GoChariots or GoChariots communicates with you, including through surveys or research projects, we collect any information you provide, including the content of any messages or attachments you send us.

Locations:
The GoChariots platform collects location information, such as GPS and Wi-Fi data, IP address, and Bluetooth data, differently depending on the GoChariots app settings and device permissions.

This feature applies to both users and drivers while the platform is in use.

Communication between Users and Drivers:
GoChariots uses third-party phone calls and text messages to keep users' and drivers' personal information secure and private.

COOKIES, ANALYTICS, AND RELATED TECHNOLOGIES FROM THIRD-PARTY PROVIDERS

You have the right to choose whether or not to accept cookies. However, they are an important part of how our platform works. GoChariots uses "Cookies", Google Data Analytics (GDA), Beacons Technology and other third-party technologies to collect information such as: device type, operating system, browser type and version, website visited, time of visit, IP address, advertising identifiers, referring website, IP address and other information to enhance the functionality of our services and platform.

FEES, REFUNDS, TIPS, AND OTHER PAYMENTS.

Fees:
You understand and agree that your use of the GoChariots Platform and Services may generate "Fees," "Payments," "Fees," or "Withdrawals" for you.

Finally, when you receive the services requested by you from drivers through our platform, GoChariots will charge you for those services through the legal third-party electronic service, including applicable taxes where required by law. Fees paid by you are final and non-refundable.

All fees are due immediately, and GoChariots will facilitate payment using your preferred payment method settings in your account settings.

Refunds:
Fees paid by you are final and non-refundable, unless otherwise determined by GoChariots and the third-party providers. If you have any cancellation, refund, or return requests, please send us an email located at info@gochariots.com or in the tab located in your user account.
Initiate your refund requests within 10 days of the Charge being made, or GoChariots will have no further liability, and you waive your right to subsequently dispute the amounts charged.
GoChariots reserves the right to establish, eliminate, and/or revise Fees for any or all services obtained through the use of the Services and the platform at any time at GoChariots' sole discretion.

Cancellation Fees:
You may cancel a ride on the GoChariots platform before and after you are matched with a driver without any charge reflected in your bank account. Please note that: (1) you, as a user, have three minutes to cancel the ride without any charge; you must do so before the driver arrives. (2) You can cancel a ride free of charge even if the driver accepts the ride but notices that the information provided on the GoChariots platform does not match (a different vehicle appears or someone else is driving) and also immediately reports the anomaly to GoChariots. (3) If your GoChariots driver arrives and you do not show up within five minutes, they may cancel the ride themselves, leaving you with an automatic 20% surcharge of the total ride price; in some cases, your cancellation fee will be based on the distance the driver has already driven to pick you up, or sometimes the full fare will apply. (4) Drivers will be able to cancel the ride at their discretion; depending on the distance they are located from the user and also on the restricted areas where the users are located or the restricted direction the users are heading (without any charge reflected in the User's bank account).

Vehicle Damage Fee:
If a Driver reports property or material damage to their vehicle caused by a Rider or their companions, you agree to pay up to $350 depending on the extent of the damage (as determined by GoChariots in its sole discretion).

Vehicle Cleaning Fee:
If a Driver reports that their vehicle needs an extended cleaning because you, your companions, or your pet soiled the interior, you agree to pay up to $200 for the extended cleaning period (as determined by GoChariots in its sole discretion).

Abuse Charge:
You agree and accept that GoChariots has the right to verify (but is not required to do so) that all documentation and information provided by users and drivers is authentic. Fraudulent use and abuse of this platform on your part will result in a fine of $300.

Tipping:
You understand and accept that you are free to tip or not tip any third-party driver who provides GoChariots services to you. You are under no obligation to do so, and if you do, please do so through the GoChariots platform. Please never tip in cash for the safety of these third-party providers.

Tolls:
Generally, our fares are not calculated with toll road costs, but in some cases, if you require the third-party independent contractor to use a toll road, an additional charge will be reflected on your account.

Other Fees:
Other fees and surcharges may be reflected in your trip, including, but not limited to: taxes (where applicable), airport fees, property fees, local fees, event fees, wait time fees, and distance surcharges determined by GoChariots or its marketing partners.

Authorization for Use of Credit, Debit, and Prepaid Cards:
Ridesharing Services, Third-Party Services (GoChariots Services) By accepting this agreement between you, Taxi Fiesta, and GoChariots, you may be asked to authorize your personal financial information, such as your bank account and/or your credit, prepaid, or debit card, to make the correct payment for the services offered and to ensure that the charges are covered. Authorization is not reflected as a charge to your bank account, but may reduce your available balance by the authorization amount until your bank's next processing cycle. The bank that issues your debit or prepaid card may charge you overdraft or insufficient funds fees if you do not have sufficient credits in your account. GoChariots is not responsible for these charges, and we cannot assist you in recovering them from your issuing bank.

Payment to Independent Providers (Drivers):
You acknowledge and agree that GoChariots is charging you a low percentage of the total revenue earned from users who request our services through our platform. GoChariots knows that it is unfair to deal with daily traffic, vehicle depreciation, food expenses, shopping, gas prices, tax payments, and returning home empty-handed due to the greedy way other companies handle driver pay. GoChariots will release payment to all independent providers weekly (payment will be made every Friday, no exceptions).

OTHER DISCLAIMERS AND WAIVERS

Taxi Fiesta, GoChariots, and independent service providers reserve the right to refuse service to individuals deemed highly dangerous and/or deemed to exhibit suspicious behavior, high levels of alcohol, or cause any disturbance.

Minors
GoChariots reserves the right to refuse service to minors who are not accompanied by an adult.
We comply with our Child Abuse and Neglect Protection Policy.

Any suspicion of child abuse will be reported to the authorities. Our services are generally not available to individuals under the age of 18.
Neither GoChariots nor third-party drivers provide a child restraint system, and neither GoChariots nor drivers are responsible for the safety of a child restraint system. Users must provide their own child restraint system and it is their obligation to ensure that the child restraint system is properly installed and that the child is properly secured in the child restraint system.

Pets:
Subject to each driver's discretion, you may or may not be allowed to bring a small pet (service dog or cat) with you while traveling and enjoying GoChariots services. You are required to secure your pet on a leash, harness, or in a crate or carrier. You are responsible for ensuring your pet does not cause any damage or litter the driver's vehicle. In the event of any damage or littering, you will be charged for the repair or cleaning of the vehicle.

COVID-19 Policy:
Wearing a mask is still important to us but is optional for fully vaccinated passengers and drivers. Even if our vehicles are cleaned between each passenger, third-party drivers reserve the right to refuse service to customers who do not wear a mask and are suspected of having any symptoms of COVID-19.

Zero Tolerance Policy:
Each driver is responsible for driving safely and following the rules established by local authorities.

GoChariots has a zero-tolerance policy for drivers using alcohol or drugs while providing service.
If we receive reports of suspected drunk driving, the driver will lose access to the GoChariots Platform, as established in their agreement with GoChariots.

Firearms Prohibition Policy:
Our goal is to ensure everyone has a safe and enjoyable ride. That's why GoChariots prohibits drivers from carrying firearms of any kind while on duty.

Anyone who violates this policy may lose access to our services and platform.

Discrimination Policy:
GoChariots strives to provide a safe, reliable, and high-quality service for everyone. Both Taxi Fiesta and GoChariots prohibit discrimination against users based on race, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic protected by applicable law. Such discrimination includes, but is not limited to, any user refusing to provide or accept services based on any of these characteristics. Any user or driver found to have violated this prohibition will permanently lose access to the GoChariots services and platform. Applicable laws in certain jurisdictions may require and/or permit the provision of services by and for the benefit of a specific category of individuals.
